By accessing or using ClauseClear ("the Service"), you agree to these Terms of Use and to our Privacy Policy and Legal Disclaimer, which form part of these Terms. If you do not agree, do not use the Service.

The Service is an educational tool that explains common types of clauses in New Zealand Sale and Purchase Agreements. It does not provide legal advice and does not create any professional relationship. See the Legal Disclaimer for the full position, which you accept by using the Service.

The Service, its design, and its knowledge base are owned by the operator or its licensors and are protected by law. References to the ADLS/REINZ standard form are for educational identification only; the Service is not affiliated with ADLS or REINZ and does not reproduce the licensed standard-form text.

The Service is provided "as is" and "as available" without warranties of any kind to the maximum extent permitted by law. We do not warrant that the content is accurate, complete, current, or fit for any particular purpose. The content is currently in review.

7. Limitation of liability

To the maximum extent permitted by law, the operator is not liable for any loss or damage arising from your use of, or reliance on, the Service. If you are a consumer under the Consumer Guarantees Act 1993, nothing in these Terms limits rights that cannot lawfully be excluded. If you use the Service for business purposes, you agree that the Consumer Guarantees Act 1993 and sections 9, 12A, 13 and 14(1) of the Fair Trading Act 1986 do not apply, to the extent permitted by law.

The Service may display advertising and may contain links to third-party websites. We are not responsible for the content, products, or practices of any third party. Any advertising handling is described in the Privacy Policy.

We may update these Terms from time to time. Continued use after changes are posted constitutes acceptance of the updated Terms.

10. Governing law

These Terms are governed by the laws of New Zealand, and you submit to the non-exclusive jurisdiction of the New Zealand courts.
